These Terms and Conditions (“Terms”) form a legally binding agreement between you and MY PRO BOOK INC., operating as MyProBook (“MyProBook,” “we,” “us,” or “our”), concerning your access to and use of myprobook.com, our mobile applications, SmartTap™ products and features, integrations and related services (collectively, the “Platform”).
By creating an account, clicking to accept these Terms, purchasing a subscription or product, or accessing or using the Platform, you confirm that you have read, understood and agreed to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
You must be at least 13 years old to use the Platform. If you are under the age of majority where you live, a parent or legal guardian must authorize your use. You must be at least 18 years old, or the age of majority in your jurisdiction, to list a business, purchase a provider subscription or enter into another binding commercial agreement through the Platform.
If you use the Platform for a business or organization, you represent that you have authority to bind it to these Terms. In that case, “you” includes that business or organization.
MyProBook provides tools that may allow users to find, save, organize, contact and book service providers; request and compare estimates; plan jobs, projects and events; manage tasks, appointments, budgets and documents; and keep service history. The Platform may also allow providers to create profiles, receive inquiries, manage customer relationships, promote offers, use SmartTap™ and connect supported third-party services.
MyProBook is a technology platform. Unless expressly stated otherwise, we are not a service provider, contractor, event planner, employer, employment agency, insurer, escrow agent, payment intermediary or party to agreements between users and service providers.
You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account, except to the extent caused by our failure to use reasonable security measures.
You may not share credentials in a way that compromises account security, impersonate another person, or create an account without authorization. Notify us promptly at techsupport@myprobook.com if you suspect unauthorized access. We may require identity or business verification before providing access to certain features.
Users are responsible for evaluating providers, confirming scope, pricing, availability, qualifications, licences, insurance and suitability, and entering into any service agreement directly with the provider.
Providers are responsible for the accuracy and legality of their profiles, services, claims, licences, certifications, availability, pricing, estimates, invoices, taxes, employees or subcontractors, insurance, customer communications and work performed. Providers must comply with all laws, permits, professional rules and consumer-protection requirements applicable to their services.
A verification badge or statement means only that MyProBook completed the particular verification described on the Platform, such as confirming contact information or business ownership. It is not a guarantee of quality, competence, licensing, insurance, safety, reliability, or outcome unless we expressly state otherwise.
A request, estimate, availability indication or booking status displayed through the Platform does not create a contract with MyProBook. Any agreement for services is directly between the user and provider. The parties are responsible for confirming the scope, price, schedule, cancellation terms, payment terms, warranties and other conditions.
Providers control whether to accept a request and may set their own pricing and availability. Users control whether to hire a provider. MyProBook does not guarantee that a request will receive responses, that a provider will be available, or that either party will complete a transaction.
Payments for provider services are generally made directly between users and providers. MyProBook does not hold funds, process those service payments or act as escrow unless a specific feature expressly states otherwise. Providers are responsible for issuing invoices, collecting payments, charging applicable taxes, and handling refunds, chargebacks and disputes.
MyProBook is not responsible for payment disputes, service quality, property damage, personal injury, delays, cancellations, incomplete work or losses arising from an agreement between a user and a provider. This does not exclude liability that cannot lawfully be excluded.
Some provider features require a paid subscription. The price, billing frequency, included features, applicable taxes and any trial or promotional terms will be shown before purchase. Unless stated otherwise at checkout, paid subscriptions renew automatically for successive billing periods until cancelled.
By purchasing a subscription, you authorize MyProBook and its payment processor to charge the selected payment method for recurring fees and applicable taxes. You must maintain valid billing information. We may suspend paid features if payment fails after reasonable notice.
You may cancel through available account settings or by contacting helpdesk@myprobook.com. Unless required otherwise by law or stated at checkout, cancellation takes effect at the end of the current paid billing period, and fees already paid are non-refundable. You will retain access to paid features until that period ends. We will disclose material price changes in advance and obtain any consent required by law.
Mandatory consumer rights under applicable law are not limited by this section.
SmartTap™ is a digital business-card feature available to eligible service providers through MyProBook. It may use near-field communication (“NFC”), QR codes or links to open and share a provider’s MyProBook profile. Compatibility depends on the receiving device, browser, operating system, device settings and internet access. MyProBook does not guarantee compatibility with every device..
Service providers must not use SmartTap™ to collect personal information, send marketing communications, track individuals or add contacts without providing any notice and obtaining any consent required by law. A tap or scan does not mean that a customer has agreed to hire the provider, receive marketing communications or save the provider to their ProBook. The customer must complete any required action or consent step.
The Platform supports integrations that may include Google Calendar, Microsoft 365 and QuickBooks. If you connect an integration, you authorize MyProBook to access, use and exchange information according to the permissions and settings presented during connection.
Third-party services are provided under their own terms and privacy policies. Their availability, security and functionality are outside our control. You are responsible for your third-party accounts, permissions and data. You may disconnect an integration at any time, but doing so may not remove information previously synchronized or affect information retained by the third party.
You must not use an integration to import or disclose information that you lack authority to provide.
The Platform may allow you to upload documents and manage projects, events, budgets, tasks, guest lists and related information. You retain responsibility for that content, including its accuracy, legality, confidentiality and backup.
If content contains personal information about another person, you represent that you have authority and any consent required to collect, use, upload and share it through the Platform. Do not use MyProBook as the sole repository for irreplaceable records; maintain appropriate copies of important contracts, permits, invoices, warranties and event or project documents.
“User Content” means profile information, business listings, photographs, portfolio materials, reviews, messages, documents and other content you submit to the Platform. You retain ownership of your User Content.
You grant MyProBook a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, transmit, display and otherwise use User Content only as reasonably necessary to operate, secure, improve and promote the Platform, provide requested features and comply with law. For public provider-profile and promotional content, this licence includes displaying and distributing that content through MyProBook search results, applications and marketing that identifies or promotes the provider or Platform.
You represent that you own or have all rights and permissions needed for your User Content and that it does not violate law, privacy, confidentiality, copyright, trademark or other rights.
Reviews and communications must be honest, relevant and based on genuine experience. You may not submit false reviews, manipulate ratings, threaten others, disclose unnecessary personal information, offer prohibited incentives for biased reviews or post defamatory, discriminatory, obscene or unlawful content.
We may moderate, restrict or remove content that violates these Terms or law, but we are not required to monitor every communication or review. We do not endorse user statements.

The Platform, including its software, design, text, graphics, logos, databases and features, is owned by or licenced to MyProBook and protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Platform for its intended purposes.
MyProBook, ProBook, SmartTap™ and associated branding are trademarks or trade names of their respective owner. No right to use them is granted except as necessary to identify or use the Platform in accordance with these Terms.
Our Privacy Policy explains how we collect, use, disclose, retain and protect personal information. By using the Platform, you acknowledge that you have reviewed it. Providers and other users who receive personal information through the Platform must handle it lawfully, securely and only for legitimate purposes connected with the relevant interaction.
The Platform may link to third-party websites, applications, maps, app stores, payment processors, social networks and provider pages. We do not control or endorse third-party content, products, terms, security or privacy practices and are not responsible for them. Your use of third-party services is at your own risk and subject to their terms.
We may update, improve, modify, suspend or discontinue features and may perform maintenance. We do not guarantee uninterrupted, error-free or secure access, that all information will always be available, or that the Platform will work with every device or third-party service.
Where reasonably practicable, we will provide notice of material changes that significantly reduce paid functionality during an active subscription
You may stop using the Platform and request account deletion at any time. We may suspend, restrict or terminate access if we reasonably believe that you violated these Terms, created legal or security risk, failed to pay required fees, misused the Platform or engaged in conduct harmful to users, providers or MyProBook.
Where appropriate, we will provide notice and an opportunity to correct the issue, but we may act immediately where necessary to protect people, information, systems or legal rights. Upon termination, rights granted to you under these Terms end. Provisions that by their nature should survive—including payment obligations, ownership, licences already required to operate or defend the Platform, disclaimers, liability limits, indemnities and dispute terms—will survive.
To the maximum extent permitted by law, the Platform is provided “as is” and “as available.” MyProBook disclaims warranties and conditions, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted availability.
MyProBook does not guarantee provider identity, qualifications, licensing, insurance, conduct, service quality, pricing, availability, reviews, estimates, work product or outcomes. Search ranking, matching, verification and recommendations are informational tools and are not endorsements. You are responsible for conducting appropriate due diligence.
Nothing in these Terms excludes warranties, conditions or rights that cannot be excluded under applicable law.
To the maximum extent permitted by law, MyProBook and its affiliates, officers, directors, employees, contractors and licensors will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, data or opportunities, arising from or related to the Platform, even if advised of the possibility.
To the maximum extent permitted by law, MyProBook’s aggregate liability arising from or related to the Platform will not exceed the greater of: (a) the amount you paid directly to MyProBook during the twelve months before the event giving rise to the claim; and (b) CAD $100
These limitations do not apply to liability that cannot lawfully be limited or excluded, including any rights available under applicable consumer-protection law.
To the extent permitted by law, if you use the Platform as a service provider or on behalf of a business, you will indemnify and hold harmless MyProBook and its affiliates, officers, directors, employees and contractors from third-party claims, damages, liabilities, penalties, costs and reasonable legal fees arising from your services, User Content, breach of these Terms, violation of law or infringement of another person’s rights.
This section does not require a consumer to indemnify MyProBook where such an obligation is prohibited by applicable law.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
Before starting formal proceedings, you and MyProBook agree to make reasonable good-faith efforts to resolve the dispute by contacting the other party and describing the issue and requested resolution. Unless applicable law requires otherwise, the courts located in British Columbia will have exclusive jurisdiction.
Nothing in these Terms prevents you from making a complaint to a regulator or using rights or remedies that cannot legally be waived.
You agree that agreements, notices, disclosures, invoices and other communications may be provided electronically through the Platform, by email or by other electronic means. Electronic communications satisfy legal requirements that communications be in writing, subject to applicable law.
You are responsible for keeping your contact information current. Marketing communications are governed by your consent choices and applicable anti-spam law; you may unsubscribe from promotional messages while continuing to receive necessary transactional or account communications.
We may update these Terms. We will post the revised version with a new “Last Updated” date and provide additional notice where required or where changes are material. Changes apply prospectively from their effective date. If you do not agree to revised Terms, you must stop using the Platform and cancel any affected subscription before the changes take effect.
These Terms, the Privacy Policy, any terms disclosed at checkout and any additional terms for a specific feature form the entire agreement between you and MyProBook concerning the Platform. If specific feature terms conflict with these Terms, the specific terms control for that feature
If a provision is found unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, acquisition or transfer of our business.
